1. Agreement to Terms

By accessing and using Payzora ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Payzora provides a software platform that allows users to create professional invoices and accept cryptocurrency payments. We are a software provider only and do not act as a payment processor, financial institution, or money transmitter.

Important: Payzora is NOT a party to any transaction between merchants and their clients. We provide the tools to facilitate invoicing and payment collection, but we are not responsible for disputes, refunds, or the quality of goods/services exchanged.

3. User Accounts

You must create an account to use Payzora. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old to use our Service. By creating an account, you confirm that you are of legal age.

4. User Responsibilities

As a user of Payzora, you are responsible for:

  • Ensuring all information in your invoices is accurate
  • Complying with all applicable laws and regulations
  • Paying applicable taxes on income received through the platform
  • Resolving disputes with your clients directly
  • Providing wallet addresses where you wish to receive payments
  • Securing your cryptocurrency wallet and private keys
  • Not using the service for illegal or prohibited activities

5. Prohibited Activities

You agree NOT to use Payzora for:

  • Fraudulent or deceptive activities
  • Money laundering or terrorist financing
  • Sale of illegal goods or services
  • Violation of any applicable laws or regulations
  • Impersonation of another person or entity
  • Hacking, phishing, or attempting to compromise security
  • Sending spam or unsolicited communications
  • Reverse engineering or copying our software

Violation of these prohibitions may result in immediate account suspension or termination and reporting to relevant authorities.

6. Fees and Payments

Subscription Fees:

  • Free Plan: $0/month (limited to 3 invoices per month)
  • Pro Plan: $9/month (unlimited invoices)
  • Business Plan: $29/month (includes team features and API access)

Transaction Fees:

  • We charge 1.5-2% per cryptocurrency transaction processed through our platform
  • Transaction fees are non-refundable
  • Fees are subject to change with 30 days notice

Subscription fees are billed monthly in advance. You can cancel anytime, and your subscription will remain active until the end of the current billing period.

7. Payment Terms

Cryptocurrency Payments: Payments are processed through our third-party payment processor. Once a cryptocurrency transaction is confirmed on the blockchain, it is final and cannot be reversed.

Direct Wallet Transfers: Funds go directly to the wallet address you provide. Payzora does not hold, custody, or control your cryptocurrency at any time.

Payment Disputes: Since Payzora is not a party to transactions between you and your clients, we cannot assist with payment disputes, chargebacks, or refunds. You must resolve these directly with your client.

8. Refund Policy

Subscription Refunds: We offer a 7-day money-back guarantee on Pro and Business plans. If you are not satisfied, contact us within 7 days of your initial purchase for a full refund.

Transaction Fees: Transaction fees are non-refundable as they cover the cost of payment processing.

9. Intellectual Property

All content, features, and functionality of Payzora (including but not limited to software, text, designs, logos, and graphics) are owned by Payzora and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

10. Limitation of Liability

IMPORTANT: To the maximum extent permitted by law, Payzora shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Disputes between merchants and clients
  • Loss of cryptocurrency due to user error, theft, or market volatility
  • Service interruptions, bugs, or technical issues
  • Third-party actions (payment processors, blockchain networks, etc.)

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid to Payzora in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

12. Account Termination

By You: You may cancel your account at any time from your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period.

By Us: We reserve the right to suspend or terminate your account immediately if you violate these Terms of Service, engage in prohibited activities, or for any reason at our sole discretion.

Effect of Termination: Upon termination, your right to use the Service will cease immediately. We may delete your data after 30 days of account closure. Transaction data may be retained longer for compliance purposes.

13. Data and Privacy

Your use of Payzora is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We comply with GDPR and other applicable data protection regulations. You have the right to access, correct, or delete your personal data at any time.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of significant changes by email or through the Service. Your continued use of Payzora after changes are posted constitutes acceptance of the new terms.

We recommend reviewing these Terms periodically to stay informed of any updates.

15. Dispute Resolution

Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
